Chiomenti has deep and consolidated experience in restructuring and turn-around transactions, as well as in insolvency procedures assisting now and in the past banks, financial intermediaries and companies on such matters.
Chiomenti also has long-standing experience advising on the purchase of assets or bussiness in turn around transactions or out of insolvency proceedings, as well as on non-performing exposure purchases (including in loan-to-own transactions).
Chiomenti was among the first law firms to develop specific legal solutions which proved useful in overcoming the financial crisis, such as the granting of convertible loans (mandatory convertibles) and the issuing of participating equity or hybrid equity financial instruments. Chiomenti also possesses consolidated experience in extraordinary transactions in the context of restructuring and turn around operations, including demergers or contributions of assets to implement corporate structures (bankruptcy remote or ring‑fenced).
