In the banking and finance area, Italian law expertise, enriched by common law jurisdiction qualified practitioners, contributes to the Firm's pre-eminent role in the adaptation for the Italian market of Anglo-Saxon legal practice and documentation techniques which are often the basis for internationally recognised standards.

Studio Chiomenti plays a leading role in the introduction into Italy of international market products and techniques, particularly in the area of structured finance.
As a result of its experience in the application of the Italian securitisations law, the Firm, among others, contributed to the formulation of Italian legislation on covered bonds.
The Firm advised the arrangers of the first issuance in Italy in accordance with a special law of securities modelled on covered bonds recognised by the principal European markets.
Export Finance, Leasing and Asset Finance
Studio Chiomenti has over 25 years of experience in export finance, assisting national entities and enterprises, Italian and foreign banks with significant export credit and insurance transactions.
Acquisition and Leveraged Finance
The Firm assists the principal Italian and international banks in the structuring, negotiation and realisation of finance for the acquisition of industrial, commercial, financial and insurance concerns using various recognised technical structures, such as leveraged buy-outs, management buy-outs, merger leveraged buy-outs, and high yield financing. It also assists banks in relation to public tender offers, including hostile tenders, and in connection with matters under the jurisdiction of the regulatory authorities.
Ship and Aircraft Financing
Ship and aircraft construction finance has specific characteristics relating to the special legal regime applicable to the financed assets. Studio Chiomenti has consolidated experience in this professional area having assisted banks and financial intermediaries in ship and aircraft construction and acquisition secured financing.
Project Finance
Studio Chiomenti advises the banks or sponsors in the principal Italian project financing transactions, particularly the construction and development of commercial and low environmental impact electricity plants, and wind and solar power projects. Studio Chiomenti is consistently consulted by public entities, banks and associations regarding the applicable law and reform proposals and in connection with feasibility studies regarding project financing transactions, particularly in the electricity production, natural resources, transport, infrastructure, local public services and water services sectors. The Firm has also assisted the principal national enterprises in connection with the financing of significant projects abroad with the involvement of international organisations. Recently, the Firm assisted in connection with certain of the principal transactions for the construction of infrastructure projects of national significance.
Local Government Finance
The Firm has significantly expanded its participation in local and territorial entities financing. In particular, the Firm has assisted in connection with euro market and domestic market issuances utilised for investment and refinancing, derivative financial instruments transactions, real estate securitisations, and the formation of real estate funds through asset contributions by local entities. In these transactions the Firm assists the local entities, the financiers or investors, the arrangers, lead managers and dealers of the issue, or the swap counterparties.
Real Estate Financing
Studio Chiomenti assists the principal Italian and international banks and large Italian and international real estate groups in the structuring, negotiation and completion of significant real estate transactions in Italy, including through the formation of investment funds.
Private banking, trusts and fiduciary activities
The Firm is active in the private banking area, assisting private clients, fiduciary companies, trust companies and family offices in connection with traditional and specialised fiduciary services, including fiduciary administration and family assets planning and management and generation shifts in family owned businesses. The Firm assists in the structuring and preparation of internal trust instruments and fiduciary structures in the family, corporate and financial contexts.
Advice in this area is fully integrated with the Firm's other professional practice areas that are involved, particularly, the tax area.
Derivatives
The Firm assists banks, investment management companies, insurance companies, and industrial groups in negotiating and structuring financial derivatives transactions (including interest rate, equity and credit derivatives), and, more generally, in the implementation of their treasury risk coverage and investment programmes, the management of investment funds and the financial management of shareholdings and investments in listed securities.
In addition to managing the contractual aspects of the transaction and any collateral (both on the basis of standard market documentation and specifically tailored documents), the Firm assists with minimum required capital regulatory matters and bankruptcy and tax issues.
