The Firm assists clients who operate in various segments of the energy sector (import, export, production, storage, regassification, transport, distribution, and trading) with assistance ranging from addressing specific energy market issues to the relevant regulation and to administrative and civil litigation.
The Firm advises clients in connecton with negotiation and drafting of commercial and financial contracts and the Firm's experience in mergers and acquisitions allows it to naturally extend its services to extraordinary transactions involving energy sector market participants. Studio Chiomenti also assists in connection with joint ventures and expansions of production capacity. In addition, the Firm has developed extensive experience in privatisations of public entities operating in the sector and in the regulatory and procedural aspects of auctions for the awarding of transport and distribution infrastructure and other assets that constitute natural or legal monopolies.
Studio Chiomenti's professionals pay particular attention to innovation which is indispensible given the extreme complexity of the issues raised by transactions within the energy area due, in part, to their close relation to technical issues and the rapid evolution and fragmentation of the legislation in the sector. Studio Chiomenti has contributed to the development of law and regulation in the sector and assists its clients, including in coordination with various industry associations, in negotiations and continuous dialogue with competent Ministries, sector authorities and operators, including, with the assistance of our Brussels office, the European Commission.
The Firm has played a leading role in the definition and implementation of new transaction structures and related contractual documentation and documentation for administrative proceedings, including those before independent authorities, as well as in contributing to the dissemination of new market practices. For example, Chiomenti developed tolling contracts for the electricity and LNG sectors and project finance transactions related to initiatives in solar energy and other renewable sources. In addition, the Firm has addressed issues related to third party access to energy infrastructure.
